Family Business Hostile Takeover

Caring Angels Connection

A local business located in Rayville, LA, that has been successful over the years appears to be the target of a possible takeover by some members who want the CEO/President gone. Henry Davison now serves as the CEO/President of Davison Family Accounts, LLC-Caring Angels Connection. Davison comes from a large family and now faces what appears to be an attempted takeover by some family members to wrest control of the business from him. The business, called DFA, is an all-Black business entity, according to Davison, and its mission is to first serve God, bring goodwill to the community, help clients, and make a difference in the community. The company is successful, has been around for almost twenty years, and employs about 88 people. The company's clients are scattered throughout Ouachita, Morehouse, and Richland parishes. Davison assumed the head leadership role when his brother became ill and resigned as president, and that is when the troubles allegedly started. There was some grumbling among some in the family that tried to move Davison out when his brother resigned. Still, as vice-president, Davison, according to the by-laws, automatically became president. A judge ruled in Davison’s favor that, after a short court encounter, there was no legal basis to remove him. Davison now says that at least two family members allegedly want to remove him as CEO/President and had a lawyer present for a meeting that they called, which is illegal under the by-laws because a regular meeting to discuss business issues had already taken place. Then there is the fact that only members “in good standing” can vote on agenda items, to which those two family members are allegedly not, and can not notify members of any meetings. Only the recording secretary has that responsibility. Davison is convinced that those who want him out are doing it for the money and control because the company has been turning over profits. When Davison assumed control of the company to become the head, it was soon time to elect new officers. According to Davison, he ran unopposed, giving him the position as CEO/President outright. That happened back in 2018. Since then, according to Davison, it has been one issue after another to get him out of the company. At one time, Davison said that he had to “step away” for a short while in order for things to cool down. Unfortunately, attempts to remove Davison continued, as the two family members who Davison believes want total control allegedly had the locks to the building changed without Davison’s knowledge or consent. When Davison attempted to enter the company that he has successfully run, he was told by two of Rayville’s finest, that he would be arrested if he entered the building. Davison said that he spoke to the Rayville PD, and was told that there wasn’t anything to be done, even though the company has had a good relationship with the town. In the interim, Davison has taken steps to safeguard the holdings of the company, because as CEO, he is responsible for the daily operations of the company, as he has not been legally told by a court to step aside. Prior to recent developments, Davison, who has the power to hire/fire employees and, as president, make sure that all of the by-laws were followed, did his job. If, by some chance, Davison has to step down, the leadership of the company would be in the hands of his daughter, who is the current vice-president. Things would not be expected to change from that of her father, according to Davison. He says that he has the support of other members, but he wants to get the issues resolved with disgruntled family members and any issues resolved with the Rayville PD. Davison says that he has no plans to step down, and he believes that DFA has been good for the community with a record to show that the company has done just that.
